Terms & Conditions

This document constitutes an offer by Casey Architectural Lighting, LLC (“Seller”) to provide the products described herein (the “Products”) to the buyer to which this offer is addressed (“Buyer”). Seller’s agreement to provide the Products is expressly conditioned on the Buyer’s assent to all of the terms and conditions set forth herein, notwithstanding any language in Buyer’s purchase order, if one exists, or other writing or oral representation. Any terms, conditions, negotiations or understandings which are not contained in this document shall have no force or effect unless made in writing and signed by Seller and Buyer. This document constitutes the final expression of the terms between Seller and Buyer regarding the Products and is a complete and exclusive statement of those terms. Seller’s representatives are without authority to change, modify or alter the terms of this document.

Quotations 

 

Quotations are valid for 60 days unless otherwise indicated.  They are subject for review and amendment after this time.

​

Hold for Release 

 

Hold for release orders are subject to price increases if not released within 90 days of placement, unless otherwise agreed upon between the customer and Casey Architectural Lighting.

​

Pricing

​

All prices are F.O.B. Casey Architectural Lighting, Pevely, MO. All monetary values are in U.S. Dollars. Pricing is subject to change without notice.

Taxes & Fees

 

Prices do not reflect any taxes or customs duties or brokerage fees.  Federal or State Sales Tax will be added where applicable unless a valid Tax Exemption Certificate is presented at the time of ordering.

Acceptance

 

Buyer shall be deemed to have made an unqualified acceptance of this offer and the terms and conditions herein on the earliest of the following to occur: (a) Buyer’s payment of any amounts due to Seller for the Products; (b) Seller’s delivery of the Products; (c) failure by Buyer to notify Seller to the contrary within ten days of receipt of this document or (d) any other event constituting acceptance under applicable law.

Payment Terms

 

Deposits are required with the first order from new customers and those without an open account.  Deposits are also required for all custom orders and catalog orders over $25,000. Refer to your quote or contact Casey Architectural Lighting for deposit amount.  Deposits are non-refundable

​

Payment for customers with approved credit is due Net 30 days from the invoice date.  Late charges of 2% per month will be added to outstanding balances after 30 days from invoice date.

​

Establishing Credit

 

To establish credit with Casey Architectural Lighting you will need to fill out the Casey Architectural Lighting Credit Application and supply five (5) trade references as well as one banking reference. You will need to include the name of your account representative at the bank.  We do not use Dunn & Bradstreet or other credit bureaus.  Please do not use a reference that only supplies information to these agencies.

Freight

 

If not specified on the order, Casey Architectural Lighting will prepay freights and add to the invoice using the carrier of our choice at their standard rates. Special lift gate truck requirements or other special delivery instructions must be clearly stated on the purchase order. For custom orders shipping terms will be negotiated and agreed on prior to a purchase order being submitted and must be clearly stated on the purchase order.  Any changes made in shipping while in transit will incur additional shipping charges.

Estimated Ship Dates

 

Orders are acknowledged with ship dates which are approximate and are based on our best estimate.  In the event circumstances beyond our control delay shipping, we will not be held responsible for any damages, penalties or labor charge backs resulting from the delayed shipment.  Please notify us of any special instructions regarding delivery and have them clearly indicated when issuing the purchase order. We will evaluate the job and advise you if the special instructions can be met.

Catalog / Cut sheet errors or changes

 

Every effort is made to avoid errors and omissions in our information sheets. We appreciate when our customers notify us of these discrepancies. Casey Architectural Lighting reserves the right to modify specifications and designs to improve appearance or function at any time and without notice. Please request a custom quote when matching existing fixtures in the field to ensure accuracy in design and function.

Cancellation/Change Orders

 

ALL SALES ARE FINAL. All fixtures are manufactured to order and are not subject to cancellation or return.

Catalog and Price Sheets

 

Seller’s catalog, price sheets and other publications are maintained as sources of general information and are not quotations or offers to sell. Seller has the right to correct, delete, or change information at any time without notification.

Product Specifications

 

Refer to the product information carefully for how to specify each fixture when placing an order. Call your local representative or Casey Architectural Lighting if you require assistance.  Our quotations and orders are based on specification information provided.  Specification errors are the responsibility of the specifier.

Product Adaptability: All fixtures will be furnished to the standard specifications as indicated in the catalog unless Seller is notified in writing by Buyer of exceptions required. Any cost incurred to change material that required special modification to meet job site adaptability must be borne by the Buyer.

Custom Product

 

All custom product orders require an approved drawing by the specifier and/or project owner. Product lead time begins after receipt of approved drawings and order once deemed to be acceptable for manufacture by Seller. Variation product will require a 50% non-refundable prepayment prior to release.

Packing: All fixtures are assembled, wired and packaged to a point where reasonable packaging and shipping is practical. Some assembly may be required once on-site and detailed instructions will be supplied with each fixture.

Claims: All claims for damage must be filed with the freight carrier directly by the customer.  Package contents should be carefully inspected for damage or shortage at the time of delivery and reported to the carrier in writing within 10 days.Casey Architectural Lighting’s liability for damage ceases upon release of product to the carrier.  In the event of damage or shortage, we will assist our customers in getting the situation resolved as soon as is possible.

ETL approval

 

LED fixtures are manufactured using U.L. Recognized components. All other fixtures meet ETL approval.

​

​

​

Lamps

 

All fixtures are quoted and supplied without lamps, with the exception of LED fixtures.  Pricing for included lamps is available upon request. Casey Architectural Lighting recommends the use of GE, OSRAM, SYLVANIA, or PHILIPS brand lamps.  The use of any other lamp brand may render the Casey Architectural Lighting and/or ballast manufacturer warranties null and void

LIMITED WARRANTY

 

Casey Architectural Lighting warrants its products, which have been properly installed, against defects in material and workmanship for a period of five (5) years from date of purchase (shipment) from Casey Architectural Lighting, including finish on interior fixtures and powder coat pain finish on exterior fixtures.  Metal finishes for exterior, including damp locations, are warranted for a period of one (1) year from the date of shipment.  Components manufactured by other parties (including ballasts, transformers, drivers, circuit boards, LED sources, battery packs, etc.) are subject to the manufacturer’s warranty, who shall be contacted directly for warranty issues.

 

There is NO WARRANTY in cases of damage in transit, negligence, abuse, abnormal usage, misuse, accidents, normal wear and tear, damage due to environmental or natural elements, failure to follow instructions or improper installation, lamping, modifications, storage, or maintenance.Materials determined to be defective will be repaired or replaced at no charge provided material in question is returned to the factory and is found upon inspection to be defective.  This warranty does not cover freight costs to and from factory.  This warranty does not cover costs incurred for field service travel and living expenses, labor, inspection, removal or installation of new products or part or normal maintenance.

 

This warranty does not include reimbursement for any expenses incurred in repairing, correcting, or replacing any defective products, unless approved in writing by Casey Architectural Lighting.
